Business and tax advisory in Vancouver, Washington.

Advisory is what happens when something changes — a sale, an inheritance, a business outgrowing its structure — and the decision in front of you has a tax consequence attached. We help small business owners and families across the Portland metro area think those decisions through before they are made.

Scope

What advisory covers.

Anything within reach that produces a better financial outcome, looked at through what it does to your taxes:

  • Entity structure — what you should be, and when it is worth changing.
  • Tax optimization — timing, deductions, and the credits that apply to you.
  • Growth and development — what a business can afford and what it cannot yet.
  • Automation — the administrative work a small business should stop doing by hand.
  • Hiring and letting people go, and what each costs beyond the wage.
  • Investments, in terms of how they are taxed and when.
  • Estate planning and succession — the numbers behind handing something on.

Where credits apply — small employer health care, retirement plan, family leave, electric vehicle — we pursue them. For S corporations we handle the pass-through entity elective tax where it makes sense.

The moment

When do people actually call?

Two moments, mostly. The first is when something has happened: an inheritance, a windfall, a property sold, a business sold. The second is quieter — the sense that a deal on the table is not as good as it looks, or that not asking the question is going to cost money.

Both are the right time to call. The questions people arrive with are usually worries rather than strategies: whether the IRS is going to be a problem, whether they are about to owe, whether money is about to go into something that will be taxed badly, or simply whether the benefit somebody promised them is real.

Is this expensive? Is it hard to get?

Less than people assume, on both counts. For clients whose returns we prepare, a great deal of advisory happens during the tax appointment itself — that is where most of it starts. A formal engagement is for the bigger decisions, the ones that need projections and options written down.

And you can always just ask. A quick question is not necessarily a billed question.

How it works

What an engagement looks like.

Something triggers it. We sit down and walk through the whole situation, not just the piece you came in about. Then we come back with a recommendation built around what is most efficient after tax — and always with more than one option, because the most efficient answer is not always the one you want to live with.

One-off consultations are available to anyone; you do not have to be a client. But we will be straight with you: advising an existing client is better work. When we already prepare the books and the return, the answer comes with history and projections behind it rather than with the version of events you can recall in an hour.

For lower-income households with a one-off question — what to do about an inheritance, most often — there is reduced-price help. Ask.

Selling

Selling your business.

We advise on the sale. We do not find you a buyer and we do not negotiate on your behalf — that is somebody else's job, and we will tell you when you need them.

What we do is walk you through the steps in order, run the tax projections on what a sale actually leaves you with, and help you arrive at a realistic price. Sellers routinely discover that two offers of the same headline number are worth very different amounts after tax, and that the structure of the deal moves the figure more than the haggling does.

Where a sale is structured around stock rather than assets, there can be securities questions attached. We will flag that when we see it and tell you who needs to look at it.

Limits

Where we stop.

Worth knowing before you call, so nothing is a surprise:

  • We do not form trusts or estates. That is legal work and we refer it out.
  • We do not manage your money and we do not pick investments. Nobody here is choosing a fund for you.
  • Retirement plans we will do — we will suggest one and help set it up where there is a real tax benefit. The legal setup and the ongoing compliance go to someone else, and we supply the numbers and the withholding amounts they need.

If your question is outside what we do, you will be told that rather than sold something adjacent.

Fees

What advisory costs.

Hourly, by project, or on a retainer — whichever fits the size of the client and the shape of the question. A consultation is $50 for fifteen minutes or $200 for an hour, and an hour-long strategic session is credited toward a future engagement. There is more on our fees page.

Why bring this to us.

Max has run his own businesses — in logistics, in equipment rental, on construction projects — before ever preparing a return for anyone else. That is a different starting point from studying small business from the outside, and it shows up mostly in what does not have to be explained.

We do not chase advisory work. We are simply available for it, and we help where we can.

Something coming up you want to think through?

Bring the question. If it is quick, it is quick, and if it is outside what we do we will say so and point you somewhere.
